The Site and Services are provided solely for the purpose of facilitating access to and use of the SmartHMS platform. You may not use the Site or Services for any other purpose, including but not limited to, advertising, marketing or solicitation of any kind in regards to provided services.
To access certain Services or features on the Site, you may be required to create an account (“Account”). You must provide accurate and complete information when creating your Account, and you are solely responsible for maintaining the confidentiality of your Account login information and for all activities that occur under your Account. You agree to immediately notify SmartHMS of any unauthorized use, or suspected unauthorized use, of your Account or any other breach of security.
SmartHMS may charge fees for certain Services, and you agree to pay all fees and charges incurred in connection with your use of the Services. SmartHMS reserves the right to change its fee structure at any time, and any changes will be posted on the Site. All fees are non-refundable, and you are solely responsible for paying any taxes or other charges imposed by any governmental authority.
The Site and Services, including all content, software, logos, trademarks, and other intellectual property, are owned by SmartHMS or its licensors and are protected by copyright, trademark, and other intellectual property laws. You agree not to copy, reproduce, modify, distribute, or display any portion of the Site or Services without SmartHMS's prior written consent.
SmartHMS shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Site or Services, even if SmartHMS has been advised of the possibility of such damages.
You agree to indemnify, defend, and hold harmless SmartHMS, its affiliates, officers, directors, employees, agents, and licensors from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Site or Services or your violation of these Terms.
SmartHMS may terminate your access to the Site or Services at any time, with or without cause or notice, and without liability to you or any third party.
These Terms and your use of the Site and Services shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms or your use of the Site or Services shall be resolved by arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996.
SmartHMS reserves the right to modify or update these Terms at any time, without notice to you. Your continued use of the Site or Services after any such modifications or updates will constitute your acceptance of such changes.
